$45 Billion For Yahoo!

I'm no Wall Street baron. I don't pay much attention to what company buys what-nor do I really care, but this caught my eye. With all the problems Microsoft has concerning their products, I'm not sure I like the sound of this. I mean, Yahoo chat and YIM suck enough without having Microsoft's "fecal touch" all over it:

The surprise offer of $31 per share, made late Thursday and announced Friday, comes with Sunnyvale-based Yahoo in a vulnerable position.

With its profits steadily sliding, Yahoo's stock slipped to a four-year low earlier this week and a new management team has been trying to steer a turnaround sees more turbulence through 2008.

The announcement sent Yahoo's share price up 60 percent in premarket trading, while Google fell 8 percent.

In a letter to Yahoo's board of directors, Microsoft Chief Executive Steve Ballmer said the world's biggest software maker will bid $31 per share, representing a 62 percent premium to Yahoo's closing stock price Thursday.

Since reaching a 52-week high of $34.08 in October, Yahoo shares have fallen 46 percent. Yahoo climbed $11.47 a share, or 59.8 percent, to $30.65 in premarket trading.

Ballmer revealed in the letter that Yahoo had rebuffed a previous overture a year ago, saying it had a turnaround in the works. But he pointedly noted Yahoo has instead deteriorated significantly.

"A year has gone by, and the competitive situation has not improved," Ballmer added.

Under terms of the proposed deal, Yahoo shareholders could choose to receive cash or Microsoft common shares, with the total purchase consisting of 50 percent each cash and stock.

Microsoft said it sees at least $1 billion cost savings generated by the merger, and intends to offer significant retention packages to Yahoo engineers, key leaders and employees. The software giant said it believes the takeover would receive regulatory clearance and close in the second half of 2008.

Ballmer said Microsoft expects Yahoo's board will review its proposal, but "reserves the right to pursue all necessary steps to ensure that Yahoo's shareholders are provided with the opportunity to realize the value inherent in our proposal."

Google shares fell $46.55, or 8.3 percent, to $517.95 in premarket trading. Microsoft shares dipped $1.39, or 4.3 percent, to $31.21.

The announcement follows Yahoo's announcement late Thursday that Terry Semel stepped down as chairman, severing his ties with Yahoo 7 1/2 months after he resigned as chief executive under shareholder pressure. He had been criticized for failing to cash in on the Web advertising surge as effectively as main rival Google Inc.

Yahoo co-founder and Chief Executive Jerry Yang said this week the company will cut 1,000 jobs, or 7 percent of its work force, in an effort to cut costs.

Meanwhile, Microsoft last week forecast a rosy 2008 — despite broader economic worries — after it blew by Wall Street's expectations for a second consecutive quarter.

Microsoft is shit and always has been. They push out and consistently advertise inferior products. Windows OS is inferior to Linux OS. The Xbox 360 is inferior to the PS3. The Zune is inferior to the iPod.

They just try to dip their hands in everything, and I think that's what is failing them. Buying Yahoo! isn't going to help. Google will still dominate the market.

Speaking of Google, I'mma try and get a job with the local Google branch. I hope my skrillz are good enough.

Linux is free open source software. I would argue that you aren't going after the same market with the two operating systems. Most people don't have the savvy to use Linux. Even with it's problems, Microsoft's software is "supported".

Probably. Still, I would disagree that they are failing. They will need to change their strategy to survive though.

Linux really isn't all that difficult to use. There are different distributions which are more or less difficult to use. But X-Windows allows the same usability as you'd find elsewhere. Plus you can clone most X-Windows desktops to looks and feel exactly like Microsoft Windows.

So you could say if Dell was to partner up with Linux and start distributing that with new computers, that'd we'd have more of a market for OSes.

The sales numbers in which country? Just the US? Worldwide? Are the figures adjusted to include the almost a year difference between release dates?

Maybe, possibly, yes. But how many Microsoft Windows did it take for them to iron out so many flaws in the system? They got up to WinXP SP2 and then-BLAMMO-what do they do? The launch a completely new operating system which wholly sucks and requires much more powerful graphics acceleration.*

Compared to Google, I'd say they are failing. Google hasn't been around nearly as long as Microsoft, but they've taken firm hold of their share of the market and they show no sign of slowing down.

Another power player to look for is Sony. I think Sony may just be wise not to even try their hand at running thing dotcom style and just sticking with what they do best: technology.


* This is both a good and bad thing. The bad part is that it requires more power from the computers GPU, meaning a more expensive video card with more VRAM. The good part is that it will help launch the next-generation in software and presumably user interface. Whereas before Vista, all you had to boost graphics was the latest in gaming, by requiring more of an actual operating system, you're ensuring that more computers will come equipped to handle things like gaming, graphics, and touch-screen manipulation.

Like I said...Microsoft's "fecal touch". They almost had a perfect OS with XP... then they had to rush out and cram a buggy, problem-infested POS like Vista out on the market before they had it polished...and fix the industry to where a new PC buyer has little choice in the matter what with Vista coming preinstalled in pretty much every new PC a consumer may be interested in buying...

Tom... your wrong. Vista was highly polished. I didn't know shit could shine so brightly. The main focus of Vista, whether Microsoft admits it or not, was to make a better looking OS. They succeeded in that. They managed to take Xp and ad better graphics to it. Thats all Vista accomplishes with all of that extra ram expenditure.

(And if you like the way Vista looks, but you realize Xp is better... you can skin Xp to look look like Vista and it wont increase ram consumption)

I know I'm going to have to upgrade eventually, but god knows it's going to take me forever to save up the money to build a new computer that can handle vista, not to mention paying for the os itself.. my poor, seven-year-old cpu is on it's last legs.

Actually the main focus of Vista was to get away from the vulnerabilities that kept popping up in XP.

What Microsoft doesn't realize is that there will be plenty of vulnerabilities in Vista. They think they've built the perfect system. It's been a year.

The worse problems for XP started popping up after its first year out. Give it time.
